Terms of Service

1. Acceptance of Terms

By accessing or using the BYS IT Consultancy website (bysitconsultancy.com) or engaging our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our website or services.

These terms constitute a legally binding agreement between you (the client or visitor) and BYS IT Consultancy.

2. Our Services

BYS IT Consultancy provides the following services:

• Web design and development
• Mobile app development (iOS and Android)
• Desktop app development (Windows and macOS)
• UI/UX design
• System architecture and API integration
• Search Engine Optimisation (SEO)
• Generative Engine Optimisation (GEO)
• Website maintenance and technical support

All services are subject to availability and are provided on a project or retainer basis as agreed between BYS IT Consultancy and the client.

3. Project Engagements

Proposals and Agreements

All project work commences upon the client's acceptance of a written proposal or service agreement provided by BYS IT Consultancy. The proposal outlines scope, deliverables, timeline, and pricing.

Scope of Work

Work performed will be limited to what is defined in the agreed scope. Any additional features or changes requested outside the original scope may incur additional costs and will be discussed and agreed upon before implementation.

Revisions

The number of revision rounds included in a project will be specified in the proposal. Revisions beyond the agreed limit may be subject to additional charges at our standard hourly rate.

Timeline

Project timelines are estimates based on the agreed scope and the timely provision of required materials by the client (content, assets, approvals). Delays caused by the client may affect the delivery schedule.

4. Payment Terms

Deposits

Most projects require a deposit before work begins. The deposit amount will be specified in the project proposal. Deposits are non-refundable once work has commenced.

Invoicing

Invoices are issued as outlined in the project proposal (e.g. milestone-based or upon completion). Payment is due within 14 days of the invoice date unless otherwise agreed in writing.

Late Payments

We reserve the right to pause or suspend work on any project where payment is overdue. Outstanding balances may accrue a late payment fee as specified in the project agreement.

Currency

All prices are quoted in Sri Lankan Rupees (LKR) unless otherwise specified. International clients may be invoiced in USD or another agreed currency.

5. Intellectual Property

Client-Owned Assets

Any content, logos, images, or materials provided by the client remain the intellectual property of the client. By providing these assets, the client grants BYS IT Consultancy a licence to use them solely for the purpose of delivering the agreed services.

Deliverables

Upon receipt of full payment, the client receives full ownership of the final deliverables (e.g. website files, application source code) as specified in the project agreement.

Third-Party Components

Some deliverables may incorporate third-party libraries, frameworks, or assets (e.g. open-source software, licensed fonts). These remain subject to their respective licences. BYS IT Consultancy will notify the client of any such components.

Portfolio Rights

BYS IT Consultancy reserves the right to display completed work in our portfolio and marketing materials unless the client explicitly requests confidentiality in writing prior to project commencement.

6. Client Responsibilities

The client agrees to:

• Provide accurate and complete information required for the project
• Supply all necessary content, assets, and approvals in a timely manner
• Designate a primary point of contact for communication and decision-making
• Review and provide feedback on deliverables within agreed timeframes
• Ensure that any materials provided do not infringe the intellectual property rights of any third party
• Not use our services for any unlawful, harmful, or fraudulent purpose

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. BYS IT Consultancy will not disclose client business information, data, or project details to third parties without the client's prior written consent, except where required by law.

This obligation of confidentiality survives the termination of the service agreement.

8. Limitation of Liability

BYS IT Consultancy will perform all services with reasonable skill and care. However, we shall not be liable for:

• Any indirect, incidental, or consequential loss or damages
• Loss of revenue, profits, or business opportunities
• Data loss resulting from client-side actions or third-party hosting failures
• Search engine ranking changes resulting from algorithm updates beyond our control
• Downtime or technical issues caused by third-party hosting or service providers

Our total liability in respect of any claim shall not exceed the total fees paid by the client for the specific project or service to which the claim relates.

9. Termination

Either party may terminate a project engagement by providing written notice. In the event of termination:

• The client is liable for payment of all work completed up to the termination date
• Any non-refundable deposit is forfeited
• BYS IT Consultancy will deliver all completed work to the client upon receipt of outstanding payment

BYS IT Consultancy reserves the right to terminate any engagement immediately if the client engages in conduct that is unlawful, abusive, or in breach of these terms.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

11. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of our website or services after any changes constitutes your acceptance of the updated terms. We encourage you to review this page periodically.
